Hi all 👋 I’m reviewing a small UK, asset-light service business and would appreciate a quick second opinion on upfront payment and seller-finance payback terms before going deeper. Very high level: - Profitable, owner-operated digital marketing agency - Seller open to seller finance - Main question is what’s sensible for upfront cash vs deferred payments given people-dependency and cash-flow risk If this is okay to share here, happy to post a short outline. Incentivising sellers with equity can be a good way to reduce upfront cash needed to complete an acquisition. It can be smart way to align interests and keep the seller invested in the business’ success post-acquisition. But, as with anything in M&A, it needs to be done right. Let’s break it down. 1. Why This Matters When you’re buying a business, you’re not just acquiring its assets - you’re taking on its legacy, culture, relationships and operational know-how. Sellers often have deep insights and connections that are critical for a smooth transition. By offering them equity, you can: - Keep them invested in the company’s success. - Ensure their continued involvement during the critical handover phase. - Reduce the upfront financial strain of the deal. This strategy helps balance risk, reward, and collaboration. 2. Ways to Incentivise Sellers with Equity Here are some of the most common ways to structure equity incentives: - Retained EquityThe seller keeps a minority stake in the business post-acquisition. For instance, you might acquire 75% of the company while the seller retains 25%. This gives them a reason to stay engaged while ensuring you maintain control. - Growth SharesGrowth shares tie the seller’s equity to future business performance. These shares only gain value if the company hits specific milestones, encouraging the seller to focus on driving growth and profitability – this offers greater incentive than an earn-out especially if your goal is to maximise the sale price on a future exit. - Rollover EquityIn this structure, the seller rolls a portion of their equity into the new ownership structure, often as part of a larger holding company. This allows the seller to benefit from future growth when the company is sold again (like growth shares but slightly different). Each of these methods offers flexibility in how you structure the deal, but they also come with potential pitfalls and risks. 3. Advantages and Drawbacks Let’s weigh up the pros and cons to help you decide if this strategy is right for your deal:

What are the main differences between growth equity and rollover equity? I'm not too sure I understand rollover and in what scenarios would it be beneficial as a buyer to choose that option?
